Jade AI provides an AI-powered revenue recovery platform that helps businesses recover outstanding payments through automated SMS and email communications. Our services include:

  • AI-powered conversation handling
  • Payment processing integration
  • Analytics and reporting
  • Integration with third-party accounting software

3. Account Registration

To use our services, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

4. Fees and Payment

Jade AI operates on a performance-based pricing model. You agree to pay fees as follows:

  • Recovery fees are calculated as a percentage of successfully recovered amounts
  • Fees are charged when a customer makes a payment through Jade AI-generated links or within 30 days of our outreach
  • Billing occurs monthly for all fees incurred
  • All fees are non-refundable unless otherwise stated in your service agreement

5. Your Responsibilities

You agree to:

  • Provide accurate invoice and customer information
  • Ensure you have the right to contact the customers whose information you provide
  • Comply with all applicable laws, including debt collection regulations
  • Not use our services for illegal purposes or to harass individuals
  • Maintain accurate records and promptly update account information

6. Compliance

Jade AI is designed to help you comply with applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and Fair Debt Collection Practices Act (FDCPA). However:

  • You are ultimately responsible for ensuring your use of our services complies with all applicable laws
  • You must ensure you have proper consent to contact individuals via SMS
  • You agree to use our services only for legitimate business purposes

7. Intellectual Property

All content, features, and functionality of our services are owned by Jade AI and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our services without prior written consent.

8. Data and Privacy

Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection and use of information as described in our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, Jade AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from or relating to these terms or our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that our services will be uninterrupted, secure, or error-free.

11. Indemnification

You agree to indemnify and hold harmless Jade AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

12. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Your right to use our services will immediately cease
  • Active recovery sequences will complete, but no new sequences will be initiated
  • You remain responsible for fees incurred prior to termination
  • We will delete your data in accordance with our Privacy Policy

13. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of our services after changes become effective constitutes acceptance of the modified terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
